Mile-Hi Bullseye Dart League By-Laws
The Organization:
Mile-Hi Bullseye Darts League (hereinafter referred to as “the Organization” is a non-profit organization located in Denver, Colorado, in the United States of America. The Organization is not affiliated with any political party or religion.
Goals and Aims of the Organization:
To raise money for charitable organization (AKA 501(c)(3) organizations).
To introduce new players to the fun and challenges of the game of darts
To provide all players with a safe and fun environment for playing darts.
The membership, voting, and personal compensation:
The Organization shall not offer membership per se, but instead invite people to contribute their time and skill on a voluntary basis to help the Organization reach its goals.
Different people have different voting rights at different times. See each section for details.
All positions in the Organization are unpaid volunteer positions. Compensation for any services shall always follow sound business practices
Business:
The Organization shall usually offer its services for free.
The Organization shall create a general operating fund and additional classes of funds as needed for sound accounting practices. The operation of the fund(s) is the responsibility of the treasurer. See (5.2) below.
The Organization shall be supported from donations and fundraising. Monies raised on behalf of any specific charity will never be used to support the operations of the Organization.
The Organization’s governing board will meet as needed for the successful functioning of the league.
At minimum, one legal meeting will be held each month
For a legal meeting to occur, the following criteria shall apply
at least one commissioner and four other governing board members must be present
Or at least 60% of governing board members and one commissioner must be present
Attendance may be in person or online as appropriate to the needs of the meeting
Meetings of the governing board are open to all league members in good standing
Any player in good standing with the league may suggest items for the agenda of a board meeting
Voting decisions of the Organization’s governing board shall require a quorum
A quorum vote requires the following criteria be met:
at minimum one commissioner and 4 of the 7 other board members
Or at least 60% of the board with one commissioner present during the vote
Organization:
The Organization is run on two levels. Any dart player in good standing with the league is eligible to be a voting member.
Good standing is defined as registered to play or volunteer in a season within the last 365 days and have not been removed from the league for conduct violations
Eligibility exceptions can be made by a simple majority vote of the board on a case by case basis
The Organization is overseen by a governing board elected by the voting membership of the organization. All board positions are elected, not appointed, unless a position is unfilled in an election cycle
Board positions are: senior commissioner, junior commissioner, deputy commissioner, secretary, treasurer, communications/marketing, statistician and captain coordinator
Unless otherwise noted, all board positions are perpetual; once a person has been elected to an office they are not required to run again.
If a board position is not run for in an election cycle, the new/incoming board may appoint someone to fill that role with a quorum vote
To remove someone from an elected position on the governing board, the other governing board members will vote and a quorum in favor of removal must be reached
It is suggested that each position use multiple people to fill the roles so that transitions can more easily occur.
Definition of positions & duties
The governing board shall be composed of at least three (8) people.
To be eligible for election to a board position, the candidate must be a voting member of the league in good standing
Each governing board position is a voting position and all votes carry equal weight
The governing board is responsible for day-to-day running of the leagues and tournaments This includes, but is not limited to, compilation of scores, running boards, schedules, resolving player disputes, and ensuring the overall smooth running of the dart leagues and tournaments (e.g. by meeting with the bar owners concerning play conditions and contacting players concerning rules changes).
Senior Commissioner
Serve as the primary spokesperson for the league; Communicate official board messaging to membership and external sources
Approve meeting agendas and run meetings
Oversee all board members to ensure successful operations of the league; provide support to each position to ensure responsibilities are completed, including communications to membership, events and seasons are administered, finances are kept sustainable, etc.
Address major concerns among players, teams, or host bars, facilitate membership removals if necessary
Act on behalf of the board in matters of emergency if not addressed in bylaws or league documents.
Nominate replacement board members if necessary for board ratification
Manage elections, follow the processes set, compile and announce results even years
Assistant (JR) Commissioner
Coordinate league fundraisers for league revenue and donation drives; ensure sustainability of league
Scheduling and running of MHBDL sponsored tournaments
Solicit in kind donations with Deputy Commissioner for prizes or raffles
Coordinate team awards for end of season, coordinate design and ordering of merch
Compile team binders and coordinate distribution with Captain Coordinator
Serve as Sr Commissioner in their absence
Deputy Commissioner
Actively identify, pursue, and secure new sponsors of the league, coordinate with Sr. Commissioner and Secretary on all sponsorship agreements
Solicit in kind donations with Assistant Commissioner for prizes or raffles
Maintain current sponsor relationships; Act as Bar Liaison,
Coordinate all bar locations, recruit bars
Ensure all boards are up to standard, address with bars
Communicate all requirements for host bar locations
Collect bar payments
Compile bar folders and deliver to locations
Coordinate all event or social location logistics with corresponding board members
Serve as treasurer/secretary in their absence
Treasurer
Maintain league finances (e.g. general funds, special funds, etc.) in conjunction with the Sr. Commissioner and Deputy Commissioner, manage relationships with financial institutions
Distribute/deposit funds for donations or process payments for league debts approved by board
Maintain account ledgers and required tax documents and ensure all are filed appropriately
Report out on the finances at each board meeting
Secretary
Solicit and compile agenda items for meetings and distribute agendas to board with 24 hour notice
Maintain minutes for all official meetings and files for records
Track meeting attendance
Record all official votes
Coordinate with Sr. Commissioner on all required legal paperwork and filings for necessary operations
Maintain and update league’s bylaws and official league rules and any additional documents of the league
Manage elections, follow the processes set, compile and announce results odds years
Player/Captain Coordinator
Serve as primary contact between captains and board
Ensure captain expectations are communicated and teams/captains are following league rules, expectations, mission and values
Coordinate support development opportunities and social (with Jr Commissioner) for new and developing players
Assist with collecting photos and player recognitions
Maintain free agent/sub lists for league use
Coordinate distribution of merch distribution
Address minor concerns among players (e.g. rule disagreements)
Statistician
Ensure all team captains have submitted their score sheets in reasonable time
Track and report game wins/losses, feats, and player stats
Update website/league republic in conjunction with Marketing and Communications; update the scores and standings in reasonable time
Create league schedules
Provide league averages and feedback on division splits of teams and players
Coordinate league sign-ups/ registrations
Marketing and Communications
Execute ongoing communication with league membership through email and social media; ensure engagement strategies are equitable and efforts are made to reach all members
Communicate all important dates such as sign-ups, blind draws, elections etc. or important league announcements/rule changes
Maintain social media accounts and websites (with Statician); compile marketing materials (e.g. photos of events)
Develop outreach strategies for league growth, coordinate feedback strategies from league members
Manage media requests and relationships
Voting:
All Voting must be performed by the person casting the vote at the time of voting. Proxy, absentee, anonymous, or any other type of voting is not allowed. The results of all votes are considered part of the public record.
Modifications to Bylaws:
These bylaws may be modified/amended by a quorum vote of all members of the board
Dissolution of Organization:
If the Organization dissolves, any material items owned by the Organization shall be sold, any outstanding debts shall be paid, and any remaining funds shall be donated to a charity organization as outlined in (2) above.
